Terms of Service

Version 1.4 · Last updated 2026-11-01

1. The service

WorkForge sets up and operates an AI assistant ("AI employee") for the customer, connected to the channels and accounts listed in the order (for example WhatsApp, Microsoft 365 email, calendar and OneDrive). The plan, add-ons, setup fee and monthly fee are as shown in the order.

2. Setup

Live in 48 hours for standard set-ups, after payment, a completed onboarding questionnaire and the access we need. Delays caused by missing information or third parties (such as Microsoft, WhatsApp or mobile networks) extend this period.

3. Fees and payment

The setup fee is paid upfront. The monthly fee is billed in advance from the go-live date. Prices are as shown on our website and in the order. We may change prices on 30 days' written notice. Founding launch prices are fixed for 6 months from go-live. Existing accepted orders retain the price guarantee recorded in their order. The setup fee is not refundable once setup work is complete, subject to clause 6 (cooling-off) and except as required by law.

4. AI usage allowance and top-ups

Each plan includes a monthly AI usage allowance. When 80% is used we notify the customer. The customer can buy AI credit top-ups (R250, R500 or R1,000) at any time. Top-ups are added to the customer's account and unused top-up credit carries over to the next month. If the allowance and top-ups are used up, the service may switch to a lower-cost AI model or pause non-urgent tasks until the next month or a top-up. We never charge for extra usage without the customer's request.

5. Term and cancellation

Month to month, with no lock-in. The customer may cancel at any time in the client portal or by email; cancellation takes effect at the end of the current paid month and no further monthly fees are billed. We may end the service on 30 days' written notice. On cancellation we export the customer's data on request and then shut down and delete the assistant.

6. Cooling-off (consumers)

A consumer is an individual buying for personal use; sole traders and companies are business clients. Where the customer is a consumer under the Electronic Communications and Transactions Act, they may cancel within 7 days of the order without reason and receive a full refund, unless they asked us in writing to start work earlier, in which case the value of work done is deducted.

7. Customer responsibilities

The customer provides accurate information and lawful access to their accounts and data; supplies the WhatsApp number on a spare SIM that is RICA-registered in the customer's or the customer's company's name (WorkForge does not supply SIM cards); keeps their own passwords secure and enables two-step sign-in; consents to WorkForge keeping a separate support login to maintain the service (revocable at any time); reviews important actions the assistant flags for approval; and ensures they have the right to share any personal information of others (staff, clients, suppliers) with the service.

8. How the AI works

The assistant uses third-party AI models and can make mistakes. It acts only on instructions from people the customer authorises and within the limits in the Acceptable Use and AI Authority Policy (/legal/acceptable-use). The customer remains responsible for decisions made and for checking outputs that matter (for example financial, legal, medical or contractual matters).

9. Third-party services

The service relies on third parties (cloud hosting, AI model providers, Microsoft, WhatsApp and mobile networks). Their availability and terms are outside our control. We will tell the customer promptly about any material disruption and work to restore the service.

10. Support and availability

Support is provided by email and WhatsApp on South African business days. We aim for the assistant to be available 24/7 but do not guarantee uninterrupted service.

11. Ownership

The customer owns their data, documents and accounts. WorkForge owns its templates, configurations, base images and know-how, and grants the customer a right to use them for the duration of the service.

12. Data

We process personal information as the customer's operator under the POPIA Data Processing Agreement (/legal/dpa), which forms part of these terms. The WhatsApp and Device Acknowledgement (/legal/whatsapp-device) also forms part of these terms. On cancellation we return or export the customer's data on request within 30 days, then delete our copies, except where the law requires us to keep them.

13. Liability

To the extent the law allows, WorkForge is not liable for indirect or consequential loss, and our total liability in any 12 months is limited to the fees the customer paid in that period. Nothing limits liability that cannot be limited by law, including under the Consumer Protection Act where it applies.

14. Suspension

We may suspend the service if fees are more than 14 days overdue (after notice), or immediately if the service is being used unlawfully or in breach of the Acceptable Use Policy.

15. Changes to these terms

We may update these terms on 30 days' notice; if the customer does not agree they may cancel before the change takes effect.

16. Governing law and disputes

South African law applies. Before going to court, the parties will try to settle any dispute by good-faith negotiation for 14 days. The parties agree to the jurisdiction of the magistrates' court for the area of our registered address, even if a claim exceeds its monetary limit.

17. General

Notices may be given by email to the addresses in the order. These terms, the order and the linked policies (the POPIA Data Processing Agreement, the Acceptable Use and AI Authority Policy, and the WhatsApp and Device Acknowledgement) are the whole agreement.
